Before Semicolon Website and CMS Terms of Service

Effective date: July 31, 2026

These Terms of Service ("Terms") are an agreement between Before Semicolon LLC ("Before Semicolon," "we," "us," or "our") and the person or entity using the Services ("you" or "Customer").

These Terms govern:

  • beforesemicolon.com;
  • the Before Semicolon CMS at cms.beforesemicolon.com;
  • related applications, content, communications, support, subscriptions, and services that link to these Terms; and
  • the Before Semicolon CMS Alerts SMS program.

By accessing or using the Services, creating an account, or accepting an order that references these Terms, you agree to them. If you use the Services for an organization, you represent that you have authority to bind that organization, and "you" includes the organization.

If you do not agree, do not use the Services.

1. Other agreements and order of precedence

Before Semicolon may also provide consulting, design, development, hosting, maintenance, or other professional services under a proposal, statement of work, order form, master services agreement, data processing addendum, or similar signed agreement (each, an "Order").

If documents conflict, the following order applies unless an Order states otherwise:

  1. a signed data processing addendum, for its privacy and security subject matter;
  2. a signed master services agreement or Order;
  3. these Terms;
  4. the SMS Terms, for the SMS program; and
  5. policies or documentation incorporated by reference.

2. Eligibility and business use

You must be at least 18 years old and legally able to enter into a contract. The Services are intended for legitimate business and professional use. You may not use the Services if applicable law prohibits it or if we previously suspended you for a material violation.

3. Accounts and security

You agree to:

  • provide accurate and current information;
  • protect credentials and authentication methods;
  • use accounts only for authorized people;
  • promptly remove access for people who no longer need it;
  • maintain accurate business roles and permissions;
  • notify us promptly at support@beforesemicolon.com of suspected unauthorized access; and
  • remain responsible for activity under your account except to the extent caused by our breach of these Terms.

We may rely on instructions from an authenticated account and its authorized administrators.

4. The Services

The Services may allow you to manage businesses, websites, projects, content, files, repositories, deployments, domains, analytics, billing, project requests, users, and notifications.

We may add, remove, or change features. We will use commercially reasonable efforts to avoid materially reducing paid core functionality during a committed subscription term, except when necessary for security, law, third-party platform changes, or to prevent harm.

Public website material is general information and does not itself create a professional-services engagement, warranty, or binding quote. A professional-services engagement begins only under an accepted Order.

5. Customer responsibilities

You are responsible for:

  • your business decisions, content, instructions, configurations, and users;
  • obtaining rights and permissions for Customer Content;
  • the accuracy, legality, accessibility, privacy, security, and consumer disclosures of websites and content you control;
  • backing up critical materials in an appropriate independent location;
  • configuring domains, analytics, integrations, recipients, and notification preferences accurately;
  • obtaining all necessary consents before providing personal information to us or directing us to process it;
  • honoring the privacy, consumer, marketing, cookie, and communications laws that apply to your activities; and
  • reviewing deployments and outputs before relying on them.

You may not represent that Before Semicolon is the owner, operator, merchant, employer, health provider, financial institution, or legal publisher of a customer-controlled website unless a signed Order expressly says so.

6. Acceptable use

You may not use the Services to:

  • violate law or another person's rights;
  • infringe intellectual property, privacy, publicity, confidentiality, or contractual rights;
  • send spam, unlawful marketing, or messages without required consent;
  • upload malware, exploit vulnerabilities, interfere with service, or bypass security controls;
  • access another account, business, repository, project, or system without authorization;
  • probe, scrape, reverse engineer, or overload the Services except as permitted by law or written authorization;
  • create deceptive, fraudulent, defamatory, exploitative, or harmful content;
  • process unlawful highly sensitive data or regulated data for which the Services have not been expressly approved;
  • resell or provide the Services as a service bureau unless an Order allows it;
  • remove proprietary notices; or
  • help another person do any of the above.

We may investigate suspected abuse and suspend affected access when reasonably necessary to protect the Services, users, third parties, or legal compliance.

7. Customer Content

"Customer Content" means content, data, files, designs, code, documents, instructions, and materials you or your users submit to or create through the Services.

As between you and Before Semicolon, you retain ownership of Customer Content. You grant Before Semicolon and its service providers a non-exclusive, worldwide, limited license to host, copy, transmit, modify, display, and otherwise process Customer Content only as reasonably necessary to:

  • provide and secure the Services;
  • follow your instructions;
  • prevent or address technical problems or violations;
  • comply with law; and
  • exercise our rights under these Terms.

You represent that you have all rights and permissions needed for Customer Content and our permitted processing.

We do not acquire ownership of a customer's trademarks, website content, or project assets merely by providing the Services. Ownership of custom professional-services deliverables is governed by the applicable Order.

8. Before Semicolon materials

Before Semicolon and its licensors retain all rights in the Services, CMS software, templates, components, documentation, designs, workflows, methods, know-how, trademarks, and other materials we provide, excluding Customer Content and deliverables assigned under an Order.

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services during the applicable term for your internal business purposes.

If you provide feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you as its source without permission.

9. Third-party services and integrations

The Services rely on or integrate with third parties, which may include Auth0, GitHub, Netlify, Stripe, Google, Sentry, Resend, and Telnyx. Your use of a third-party service may be subject to its separate terms and privacy policy.

We are not responsible for third-party services, outages, changes, data handling, or actions outside our reasonable control. We may suspend or change an integration if the provider changes access, the integration creates risk, or continued use becomes unlawful or impractical.

You authorize us to exchange Customer Content and account information with an integration to the extent needed to perform the action you request.

10. Fees, subscriptions, and taxes

Paid features, prices, billing intervals, usage limits, and included services are described at checkout or in an Order.

Unless an Order says otherwise:

  • fees are charged in advance for each billing period;
  • subscriptions renew automatically for successive periods until canceled;
  • you authorize Stripe and us to charge the payment method on file;
  • you must keep billing information current;
  • fees are non-refundable except where these Terms, an Order, or law requires otherwise;
  • plan changes may take effect immediately or at the next renewal as displayed at checkout;
  • failed payment may result in restricted features or suspension after applicable notice; and
  • fees exclude taxes, and you are responsible for applicable taxes other than taxes on our net income.

11. Communications and electronic records

You consent to receive account, legal, security, billing, and service communications electronically at the contact information associated with your account. You are responsible for keeping it current.

Email consent does not constitute SMS consent. The SMS program is optional and governed by the SMS Terms. Consent to SMS is not a condition of purchase.

You agree that electronic acceptance, notices, and records may satisfy legal writing and signature requirements to the extent permitted by law.

12. Privacy and data protection

Our Privacy Policy explains our personal-information practices and is incorporated into these Terms.

If applicable law requires a data processing addendum for Customer Content, the parties will use Before Semicolon's then-current data processing addendum or another signed agreement. You must not place protected health information, payment-card data, government identification numbers, children's data, or other specially regulated data in the Services unless a signed Order expressly authorizes it and required safeguards are in place.

13. Confidentiality

Each party may receive non-public information that should reasonably be understood as confidential ("Confidential Information"). The receiving party will:

  • use Confidential Information only to perform or receive the Services and exercise rights under the parties' agreements;
  • protect it using reasonable care, at least the care used for its own similar information; and
  • disclose it only to personnel, contractors, and advisers who need it and are bound by confidentiality obligations.

Confidential Information does not include information the receiving party can document was lawfully known without restriction, independently developed, rightfully received from another source, or made public without breach.

A party may disclose Confidential Information when law requires it, after giving notice when legally permitted and reasonably cooperating to seek protection.

14. Beta and preview features

Features labeled beta, preview, experimental, or similar are provided for evaluation, may change or end without notice, and may be less reliable. Do not use them for critical or regulated workloads unless an Order expressly permits it.

15. Suspension and termination

You may stop using free Services at any time and may cancel a paid subscription through the method shown in the CMS or applicable Order.

We may suspend or terminate access if:

  • you materially breach these Terms or an Order and do not cure a curable breach after reasonable notice;
  • payment is overdue;
  • use creates a security, legal, or operational risk;
  • suspension is required by law or a third-party provider; or
  • continued operation of the Service becomes impractical.

We will use reasonable efforts to limit a suspension to the affected account or feature and provide notice when circumstances permit.

On termination, your right to use the Services ends. Subject to payment, law, security, and the applicable Order, we will provide a reasonable opportunity to export available Customer Content before deletion. Sections that by their nature should survive will survive, including payment, ownership, confidentiality, disclaimers, limitations, indemnity, dispute terms, and accrued rights.

16. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." BEFORE SEMICOLON DISCLAIMS ALL IMPLIED OR STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR COMPATIBLE WITH EVERY THIRD-PARTY SERVICE; THAT CONTENT OR ANALYTICS WILL BE ACCURATE; OR THAT A WEBSITE, DEPLOYMENT, MESSAGE, OR BUSINESS RESULT WILL MEET YOUR REQUIREMENTS.

Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEFORE SEMICOLON'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES AND THESE TERMS WILL NOT EXCEED THE GREATER OF:

  1. THE FEES YOU PAID TO BEFORE SEMICOLON FOR THE AFFECTED SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR
  2. USD $100 IF YOU USED ONLY FREE SERVICES.

The exclusions and cap do not apply to liability that cannot be limited by law. A signed Order may establish a different cap.

18. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Before Semicolon and its officers, members, employees, and agents from third-party claims, damages, judgments, costs, and reasonable attorneys' fees arising from:

  • Customer Content;
  • your websites, products, communications, or business practices;
  • your violation of law, these Terms, or another person's rights; or
  • your users' unauthorized or abusive use of the Services.

We will provide reasonable notice and cooperation. You may control the defense, but you may not settle a claim in a way that admits our fault, imposes obligations on us, or fails to fully release us without our written consent.

A signed Order may include Before Semicolon's indemnity for specified intellectual-property claims.

19. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Massachusetts, excluding conflict-of-law rules. The state courts located in Bristol County, Massachusetts, and the federal courts with jurisdiction over Bristol County, Massachusetts, will have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there.

Before filing a claim, each party will give the other written notice and attempt in good faith for 30 days to resolve the dispute, except a party may seek urgent injunctive relief or preserve a limitation period.

20. Changes to these Terms

We may update these Terms. We will post the updated version and change the effective date. If a change materially affects an active paid subscription, we will provide additional notice when required. Continued use after the effective date constitutes acceptance to the extent permitted by law. If you do not agree, you must stop using the affected Services.

21. General terms

Neither party may assign these Terms without the other's consent, except that Before Semicolon may assign them in connection with a merger, reorganization, financing, sale of assets, or transfer to an affiliate.

Before Semicolon is not liable for delay or failure caused by events beyond its reasonable control.

The parties are independent contractors. These Terms do not create a partnership, franchise, agency, fiduciary, or employment relationship.

If a provision is unenforceable, it will be modified to the minimum extent necessary, and the remainder will continue. A waiver must be written and is not a continuing waiver. Headings are for convenience. These Terms and incorporated agreements are the entire agreement for their subject matter.
